Napoleon is a flexible project management and GitHub issue tracking platform for engineering teams, operated by Average Joe Technology OÜ. The Service includes customizable workflows, issue tracking, and integration with GitHub repositories and pull requests.

The Service is currently offered as an invite-only early access program. During early access:

• Features may change, be added, or be removed without prior notice
• The Service is provided without availability or uptime commitments
• We may suspend or reset accounts and data as part of development; we will use reasonable efforts to notify you in advance of any planned data resets
• Access may be granted, limited, or revoked at our discretion

• You must be at least 16 years old to use the Service
• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account
• You must provide accurate and complete information when creating an account
• You must notify us promptly of any unauthorized use of your account

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to the Service, other accounts, or related systems
• Interfere with or disrupt the integrity or performance of the Service
• Upload malicious code or content that infringes third-party rights
• Resell, sublicense, or provide the Service to third parties without our consent

The Service integrates with GitHub. Your use of GitHub remains subject to GitHub's own terms and policies. We are not responsible for the availability or performance of GitHub or any other third-party service, and interruptions to such services may affect the functionality of the Service.

• Your content: You retain ownership of all content and data you submit to the Service. You grant us a limited license to host, process, and display that content solely to provide the Service.
• Our property: The Service, including its software, design, and branding, is the property of Average Joe Technology OÜ and is protected by intellectual property laws. These terms do not grant you any rights to our trademarks or source code.
• Feedback: If you provide feedback or suggestions, we may use them without restriction or compensation.

The Service is provided free of charge during early access. We may introduce paid plans in the future; published pricing is indicative and subject to change. We will provide reasonable notice before any fees apply to your use of the Service.

We process personal data in accordance with EU GDPR regulations and our Privacy Policy. By using the Service, you acknowledge our data processing practices as outlined in the Privacy Policy.

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, particularly during early access.

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Service shall not exceed the total amount paid by you for the Service in the twelve months preceding the claim (or EUR 100 if you have paid nothing). We shall not be liable for indirect, consequential, or incidental damages, including loss of data, profits, or business.

• You may stop using the Service and request account deletion at any time
• We may suspend or terminate your access immediately for breach of these terms, non-payment, or illegal activities
• Upon termination, your right to use the Service ceases; provisions that by their nature should survive (including intellectual property, disclaimers, and liability limitations) will survive

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemic, government regulations, or internet/telecommunications failures.

These terms shall be governed by and construed in accordance with the laws of Estonia. We encourage resolution through direct communication; formal disputes shall be subject to mediation before litigation. Any legal proceedings shall be conducted in Estonian courts.

We reserve the right to modify these terms at any time. Changes will be posted on this website with an updated effective date. Continued use of the Service after changes constitutes acceptance of the new terms.

If any provision of these terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining terms shall remain in full force and effect.
